1. Acceptance of Terms

By engaging Galim Ventilation and Air Conditioning (HVAC) LTD ("Galim," "we," "us," or "our") for services, purchasing our products, or using our website, you agree to these Terms and Conditions. If you do not agree, please do not use our services.

2. Services Provided
Our Services Include:
  • Design and installation of ventilation systems

  • Smoke evacuation and extraction systems

  • HVAC equipment supply and installation

  • Maintenance and repair services

  • Safety inspections and certifications

  • Technical consultation and system planning

Service Standards:
  • All work complies with Israeli Standard 1001 and relevant building codes

  • Services performed by certified technicians

  • Equipment meets all applicable safety standards

3. Quotations and Orders
Price Quotes:
  • Written quotes are valid for 30 days unless otherwise specified

  • Quotes are based on site conditions at time of assessment

  • Additional work discovered during installation will require approval

Order Confirmation:
  • Services commence upon signed agreement and deposit payment

  • Changes to scope require written approval and may affect pricing

  • Cancellation fees may apply as specified in your service agreement

4. Payment Terms
Payment Schedule:
  • Standard Projects: 30% deposit, 40% on delivery, 30% on completion

  • Maintenance Contracts: Monthly or annual billing as agreed

  • Emergency Services: Payment due upon completion

Payment Methods:
  • Bank transfer, credit card, or company check

  • All prices exclude VAT unless stated otherwise

  • Late payments subject to interest per Israeli law

No Refunds:
  • Custom equipment orders are non-refundable once manufactured

  • Service deposits non-refundable within 7 days of scheduled work

5. Warranties and Guarantees
Equipment Warranty:
  • Manufacturer warranties pass through to customer

  • Galim installation warranty: 12 months from completion

  • Extended warranties available for purchase

Service Guarantee:
  • We guarantee our workmanship meets industry standards

  • Defects in our work corrected at no charge within warranty period

  • Warranty void if equipment tampered with or improperly maintained

6. Customer Responsibilities
Site Preparation:
  • Provide safe access to work areas

  • Ensure electrical/structural readiness as specified

  • Obtain necessary permits (unless agreed otherwise)

Information Accuracy:
  • Provide accurate building plans and specifications

  • Disclose any hazardous conditions

  • Notify us of any site changes affecting installation

Maintenance:
  • Follow recommended maintenance schedules

  • Use only approved replacement parts

  • Allow access for warranty service

7. Liability and Insurance
Our Insurance:
  • Galim maintains comprehensive liability insurance

  • Workers' compensation for all employees

  • Professional indemnity coverage

Limitation of Liability:
  • Liability limited to direct damages only

  • Maximum liability equals project contract value

  • No liability for consequential or indirect damages

  • Force majeure events excuse performance

Indemnification:
  • Customer indemnifies Galim for claims arising from:

    • Failure to maintain equipment properly

    • Unauthorized modifications

    • Misuse of equipment

    • Pre-existing building conditions

8. Safety and Compliance
Safety Standards:
  • All work performed per Israeli safety regulations

  • Compliance with fire safety codes mandatory

  • Regular safety training for all technicians

Inspections:
  • Customer must allow access for required inspections

  • Failed inspections may require additional work at customer cost

  • Safety violations must be corrected immediately

9. Intellectual Property
Our Property:
  • System designs and technical drawings remain Galim property

  • Custom engineering solutions are proprietary

  • Customer may not reproduce designs without permission

Your Property:
  • We respect confidentiality of your building plans

  • Customer data used only for service delivery

  • No sharing of customer information without consent

10. Termination
Service Termination:
  • Either party may terminate maintenance contracts with 30 days notice

  • Immediate termination for safety violations or non-payment

  • Refunds pro-rated for prepaid services not rendered

Post-Termination:
  • Final invoice due within 15 days

  • Warranty obligations continue per original terms

  • Return of any Galim property required

11. Dispute Resolution
Initial Resolution:
  • Direct negotiation between parties

  • Technical disputes referred to independent engineer

  • Good faith effort required before legal action

Legal Proceedings:
  • Governed by laws of State of Israel

  • Exclusive jurisdiction in Tel Aviv courts

  • Prevailing party entitled to legal fees

12. General Provisions
Contract Hierarchy:
  • Every contract and/or project with Galim has a dedicated contract in which the final terms of the engagement agreement between the parties are determined, and it is the final and absolute authority for the legal terms.

  • In case of conflict, the specific project contract supersedes these general Terms

  • These Terms apply to all matters not specifically addressed in project contracts

Severability:
  • Invalid provisions do not affect remaining terms

  • Court may modify unenforceable terms minimally

Assignment:
  • Customer may not assign rights without consent

  • Galim may assign to successors or affiliates

13. Emergency Services
Availability:
  • 24/7 emergency service for contracted customers

  • Response time per service level agreement

  • Emergency rates apply outside business hours

Priority:
  • Life safety issues receive immediate priority

  • Contract customers receive preferential scheduling

  • Best effort basis for non-contract emergencies

14. Changes to Terms

We may update these Terms periodically. We will notify you of material changes via:

  • Email to registered customers

  • Notice on our website

  • Updated "Last Updated" date

Continued use of our services after changes constitutes acceptance.
